Intel currently outperforms AMD processors.

What is your budget?

Core 2 duo is good. What model? If it is somehow hindering your gaming performance, I would overclock it, and you will no longer have that problem

What exactly do you want to do with a new processor?

If you just want a bit more speed, then you can easily overclock that E6400 to 2.8GHz, and it will be much faster

If you overclock make sure you can keep it cool, get a better power supply or an extra cooling fan or something. Overclocking it without making up for the extra heat it will create could fry your processor early.

No, it's very difficult to "fry" core 2 duo processors. You will be able to overclock them quite a bit on stock cooling. Just make sure the temperature does not go above 70C on full load and you'll be fine (if it does, then you can just set the clock back to normal, and then buy a better cooler).
